Question : Exchange 2010 CAS/HT NLB

I am planning to deploy Exchange 2010 and needs help on my architecture. My plan is to run 3 physical Mailbox servers doing JBOD Sata in a DAG. Another 2 physical servers, each running its own VM with CAS and Hub Transport roles.
Physical Server 1 has (VM1 = CAS1 + HT1)
Physical Server 2 has (VM2 = CAS2 + HT2)
Physical Server 3 has MB1 role
Physical Server 4 has MB2 role
Physical Server 5 has MB3 role
Will there be a problem doing Network Load Balancing for VM1 and VM2? I am unsure if running CAS+HT roles in one VM will allow me to do NLB.
Do I need Win2008R2 EE for all my 5 Physical Servers?
