Well, i know for sure OEM software can NOT be transfered to another computer. So if you bought a computer from HP and it had OEM software, that software is only licensed for that particular HP comptuer. It can't be transfered. OEM software is tied to the motherboard to be specific. If the motherboard dies, but the computer is still under warranty from HP, then HP can send a replacement motherboard and you can still use the OEM software license. OEM software is generally supposed to be cheaper.
Retail version software CAN be transfered to another computer. As long as the initial install is removed, it can be transfered. This software version is generally higher cost. But may be well worth it in the long run if it has to be transferred to another computer.
Volume licensing I think it can be transfered to another computer as well. Another expert can comment more as i'm not that familiar...
As far as upgrades, I believe as long as you have a legitimate upgrade versions, you can always upgrade OEM software.
You can actually call microsoft (for free) and ask them specific situations and they can tell you. After all, microsoft is authoritive and absolute.
