has anybody seen this issue before?

Answer : ActiveSync will not provision devices, even when it is configured to allow non provisonable devices

Change the timeout setting on your HTTPS policy in your firewall.

Also increase the settings for HbiSampleSize and MaxHeartbeatInterval (both DWORD values, you may need to create them if they don't already exist) in HKLOCAL_Machine\System\CurrentControlset\Services\Massync\Parameters

read more about the registry settings and this issue in general here: http://support.microsoft.com/kb/905013
