Question : Need help troubleshooting VMware ESXi 4.0 PSoD

It seems to happen every 24-36 hours, consistently. The server this was installed on was received (brand new from HP) with a bad motherboard. They replaced this, ran diagnostics, and gave it a clean bill of health (this was PRIOR to installing ESXi). I simply need someone to confirm my suspicion that it's hardware related. Attached are 2 screen shots of the PSoD taken with a camera phone, and it's incomplete. I will attempt to get a picture of the entire error if necessary, just let me know.
If you need ANY more information, let me know.

Re-install ESXi, if you still get a PSOD it's hardware.  If the Motherboard was there may be a bad CPU or they bent the pins when putting in the new mobo.

Call HP tell them the CPU died, you should have a next bus day warranty for 3 years and start swapping parts out.

Another test is to install Windows and see if blows up.  Also make sure your bios and firmware is up to date as well
